Shareholders’ agreement & company advice

Our client is a world wide supplier of geophysical products and services, including software and the manufacture of geotechnical marine equipment. We advised on the corporate structure of the UK holding company and prepared a shareholders’ agreement to give effect to the structural and operational arrangements between the existing shareholders and new shareholders being brought on board. It was important to our client that the terms of the shareholders’ agreement reflected the day-to-day decision-making and running of the business. As our client is international, we worked with his local solicitors to ensure alignment of the UK holding company and the non-UK based operational subsidiary.
