Into Orbit for Thomson Snell & Passmore

Thomson Snell & Passmore has advised new client B. P. Direct Mail Company Limited (BPDM) on the partial management buy-out of Orbital Marketing Services Group Limited (OMSG), a wholly-owned subsidiary of BPDM.
Thomson Snell & Passmore advised BPDM on the subscription by certain senior members of the OMSG management team (including the managing director and finance director) for 49% of the ordinary share capital of OMSG.
OMSG, based in Ashford, Kent, provides marketing communications services to support sales promotion, direct marketing, mail order and other customer contact campaigns. The company focuses on the travel, education, healthcare, publishing, pharmaceutical, tourism and leisure sectors.
Thomson Snell & Passmore Partner and Head of the Corporate & Commercial Team, James Herbert, together with Associate, Joel Kelly, advised BPDM on the corporate aspects of the deal including advising on the terms and method of investment by the management team. Commercial Property Partner, Felicity Warran-Smith, provided advice on property matters together with Employment Senior Associate, James Willis, who advised in relation to the terms of the service agreements for the members of the management team.
Baker Tilly provided corporate finance advice and Thomas Eggar LLP advised the management team on all aspects of the deal.
