    Our client had developed the recipe for a new type of sauce or condiment. Our client’s sister company had already successful exploited the sauce in the US and was looking to manufacture and supply the sauce in the UK.

    The recipe for the sauce was highly confidential and so we prepared a non-disclosure agreement or confidentiality agreement for our client to use prior to its initial discussions with potential manufacturers.

    Once our client had selected a manufacturer to produce and bottle the sauce, we prepared a manufacturing agreement which protected our client’s rights and interests in the recipe, in addition to any rights in improvements or modifications made by the manufacturer.

    The manufacturing agreement also contained detailed provisions relating to quality control, testing and rights of inspection as our client wanted to ensure that the integrity of the sauce and recipe was not compromised.
