    Our client supplies plant-based products and, working in collaboration with a research group at a University, our client was looking to develop new products for commercial exploitation.

    We assisted our client in preparing and negotiating the research and development (R&D) agreement.

    The proposed R&D project would inevitably result in the creation or discovery of new inventions, information, know-how or materials which may be capable of protection by one or more types of intellectual property rights.

    In drafting the R&D agreement, we carefully considered the ownership of any intellectual property rights arising out of the collaboration and the rights of each party to exploit those intellectual property rights.

    Confidentiality was also critical in the R&D collaboration as, for strong commercial reasons, our client was unlikely to seek patent protection for any new inventions or knowhow generated in the work with the University. Therefore the R&D agreement that we prepared needed to contain detailed confidentiality obligations.

    We were pleased that, in working with our client and following extensive negotiations with the University’s legal team, our client’s objectives were achieved in relation to ownership of the intellectual property resulting from the research.
