    This case study demonstrates the expertise of our Corporate team who advised the shareholders of two organisations in relation to the double sale of specialist cleaning contractors, Midland Integrated Services Limited (MIS) and South Midlands Group Plc (SMG).

    Thomson Snell & Passmore acted for the shareholders of MIS and SMG in relation to the double sale of the entire issued share capital to Atlas Contractors Limited.

    MIS offer contract cleaning, soft service, commercial & industrial cleaning to a wide range of Blue Chip companies and SME's across the UK. They are experienced in delivering managed integrated cleaning & soft service solutions to clients from large manufacturing, pharmaceutical industries, those managing distribution and logistics centres and MOD sites.

    SMG are involved in the contract cleaning industry, effectively servicing many accounts throughout the length and breadth of the country.

    We were delighted to be asked to assist with this project and fielded a multidisciplinary team with lawyers from corporate, real estate, and employment providing input at various key stages of the transaction.

    We drew on our experience to bring practical insight and common sense to the issues affecting the transaction, reflecting our approach which is always practical, realistic and commercially based.

    The timing of the project was crucial as the sale of MIS joined the sale of SMG at a later date, when SMG was already at a relatively advanced stage of the process. The project team responded to the request to bring both matters together in order to complete the transactions simultaneously. We worked collectively with the shareholders' other professional advisers, Vantis Corporate Finance, to ensure a pragmatic and cohesive approach to drive this double deal through to a successful completion.
