Purchase of charity in administration

We acted for Real Group Limited, a professional training and education provider, in its purchase of assets of a distressed national charity, Dyslexia Action, which supports individuals with literacy and numeracy difficulties, dyslexia and other specific learning difficulties. The part of the business that was acquired formed the arm of the charity which provides training to teaching professionals in supporting pupils with learning difficulties. The acquisition was well matched to our client’s existing expertise and was synonymous with its growth strategy.

We were required to provide high-level and succinct advice focusing on the material commercial issues in order to get the deal across the line in the tight timescale required, as well as negotiate the terms of the asset acquisition agreement and associated transaction documentation to ensure that it reflected our client’s commercial best interests. Our client was pleased with the smooth transfer of the business and assets which allowed the training activities to continue as normal.
