Thomson Snell & Passmore advised R. Swain & Sons Limited in relation to the acquisition of the business of Hallett Silbermann.
Kent based road haulage company R Swain and Sons has acquired the business and assets of London based hauliers, Hallett Silbermann. The acquisition of Hallett Silbermann’s business located in Hatfield on the A1 (M) just north of the M25 is a strategic addition, adding a London base to the Swain Group’s existing capabilities.
The deal furthers the continual growth that The Swain Group has pursued, through this fourth generation family company, by following a strategy of organic growth with selective acquisitions within the industry. Hallett Silbermann makes this the seventh acquisition for the Group since 1999. The investment will provide the Rochester based business with significantly increased capacity to support its growing operation as it approaches the 100th anniversary of its foundation.
The deal adds a fourth depot to The Swain Group’s existing sites situated in Rochester, Manchester and Burton-on-Trent. All the depots are located to provide maximum operational flexibility and movement within mainland Britain.
R Swain and Sons offer a full range of haulage distribution services across the UK and into Northern Europe. R Swain and Sons’ nationally recognised vehicles are regularly involved in major projects. Recent projects include a cross-continental transportation of a large static crane and the Lee Tunnel Project which involved the carriage of hundreds of concrete segments to create a seven kilometre long sewer tunnel.
Joanne Gallagher, a partner in Thomson Snell & Passmore’s Corporate & Commercial team led the transaction. She was assisted by Krishen Patel (Corporate), Jo Wright (Commercial Property) and Peter Jones (Employment). Joanne Gallagher commented:
“We are absolutely delighted to have been asked to advise R Swain and Sons on this acquisition. This was a complex transaction which drew on different areas of our Commercial Group’s expertise. We look forward to seeing R Swain and Sons continue to grow from strength to strength”.
I would like to thank Joanne Gallagher and her team for all for the long hours and the very hard work they put into this acquisition. It was great to have such a team of professionals on board to see the project through.
Bob Swain, Managing Director of R Swain and Sons
