Thomson Snell & Passmore advised the shareholders of a company which specialises in the development of software for growers and agronomists on the sale of their company for approximately £6 million.
The terms of the transaction were complicated by issues relating to the intellectual property in the company’s software, property matters, contracts with the company’s distributors and major customers and its membership of certain Technology Strategy Board collaboration projects.
We were instructed on the matter in May 2014 and the transaction completed just one month later, demonstrating how we were able to pull out all of the stops to meet the parties’ timescale.
