Sale of Liz Dove Limited to Cook Trading Limited

We acted for the shareholders of Liz Dove Limited in relation to the sale of that company to Cook Trading Limited.

Cook Trading Limited is a leading brand of frozen foods. Its cold puddings were all supplied by Liz Dove Limited, until Cook acquired that company.

The purchase price was settled by the issue of shares in Cook Trading Limited, based on a valuation of Cook as a whole at just under £16 million.

The whole transaction was time-pressured, because Cook were in the midst of negotiations over new premises for Liz Dove Limited to occupy, but they obviously did not want to exchange contracts on those premises until the transaction completed.

We managed to complete the transaction less than three weeks after initial instructions, which demonstrates how we had to deal pragmatically, commercially and skilfully in order to meet the clients’ expectations.
