Thomson Snell & Passmore advise specialist security door company on strategic acquisition

We acted for Sunray Engineering Limited on the acquisition of Prestige Fire Door Services Limited; a specialist designer, manufacturer and installer of specialist fire doors. The aim and basis of the transaction was that the business background of Prestige Fire Door Services would complement Sunray Engineering’s existing offering of specialist security doors.

The transaction team at Thomson Snell & Passmore was lead by the Corporate team, assisted by Laura Keatley and Catherine Lumsdon from the Real Estate team and Ben Stepney from the Employment team.

As part of the share sale, we advised on an earn-out for one of the sellers and a clean break for the other. In addition to the legal assistance we provided with respect to the corporate aspects of the matter, we structured the earn-out for the relevant seller. This common sense approach and understanding of both corporate and personal requirements lead to the transaction’s smooth progress to completion.
