Thomson Snell & Passmore advises on research agency acquisition

Thomson Snell & Passmore’s corporate team recently acted for long-standing creative services client in relation to the acquisition of the business and assets of a research agency.

The transaction was originally structured as a share purchase; however as a result of a thorough legal due diligence exercise, we identified several significant issues linked to the target company. Following this, we were able to provide advice on complex Data Protection issues to highlight the material risks and consequences from our client’s perspective as the buyer.

As a result, the deal structure was re-negotiated and ultimately proceeded by way of an asset purchase in order to leave any historic liabilities behind with the target company.
