Our client is a medium sized enterprise which provides marketing communication and market research services to large multiple retailers. We offer them a range of legal support and advice for corporate and commercial issues including mergers, acquisitions, contracts and compliance.
Recently, we supported them with their contract negotiations with a new customer, in particular tailoring the liability clause in order to find a more balanced allocation of risks and advising on acceptable terms for the potential TUPE transfer of employees from an incumbent supplier. We have also supported their market research subsidiary with a thorough review of their data privacy policies and procedures including preparing a high-level survey of global data protection regimes.
Michelle comments “it is satisfying working with clients, who come back regularly for our advice and support. We can get to know their business models and styles and we can keep an eye-out for any legal news that may affect their business. When a company isn’t quite large enough to warrant in-house counsel, but is regularly engaging with counterparties or encountering legal questions, we are able to provide “dip-in” support. This may only involve a short telephone or email query or a larger discrete piece of work.
In this case, our client was happy with negotiating most of the commercial contract themselves and just wanted support on a couple of stickier areas. However when it came to the data protection piece, our client wanted a more thorough review with supporting legal research. I enjoyed doing both – it is rewarding when client’s come back and I get to see more and more aspects of their businesses.”
