Our client is a medium sized enterprise which provides marketing communication and market research services to large multiple retailers. We offer them a range of legal support and advice for corporate and commercial issues including mergers, acquisitions, contracts and compliance.
Recently, we supported them with their contract negotiations with a new customer, in particular tailoring the liability clause in order to find a more balanced allocation of risks and advising on acceptable terms for the potential TUPE transfer of employees from an incumbent supplier. We have also supported their market research subsidiary with a thorough review of their data privacy policies and procedures including preparing a high-level survey of global data protection regimes.

In this case, our client was happy with negotiating most of the commercial contract themselves and just wanted support on a couple of stickier areas.
