Thomson Snell & Passmore recently acted for the co-founder of an innovative SaaS platform in respect of their exit and settlement from the business.
The transaction was led by Jason Varney, a Partner in the Corporate team, supported by Corporate Solicitor Daniel Gorringe. The team advised on the Shareholders’ Agreement & Articles of the company in the context of the client exiting the business as both an employee and a shareholder. The agreement was negotiated in a pragmatic and positive manner, with the client looking to reach a favourable commercial outcome for both parties that would preserve the business relationship that had been formed.
The nature of the transaction meant that the deal also necessitated employment advice and Ben Stepney, Partner in the Employment team, led on these aspects. This involved advising on the settlement agreement relating to the termination of the employment contract, and the process to be followed to ensure a smooth exit from the business.
