Our client is a multi-functional construction organisation, working within the reinstatement and building sectors. We were instructed to advise on the acquisition of the assets of a recycling plant. Our client wished to take over the plant as a going concern, with minimum interruption to the daily operation of the plant. We were given a very short turnaround on the purchase of the business and needed to ensure that our client was protected against later risks and liabilities which may not come to light on a time limited due diligence exercise. The assignment of the leasehold properties from which the recycling plant operated added further challenges to our negotiation with the seller. Our corporate and property teams worked together to ensure a smooth and timely acquisition of the business.
