Purchase of organic farming company

We have acted for a longstanding individual client in connection with a recent business venture – the purchase of the entire share capital in a private family company involved in organic farming. The target company owned farmland in Surrey on a leasehold basis under the terms of an Agricultural Tenancy.

Faye Cook, Associate, dealt with the corporate aspects of the transaction; negotiating the terms of the main sale agreement including the warranties that the seller gave to our client. Faye also carried out the required due diligence on the target company and was assisted by Sue Lister, Head of Agriculture & Rural Property, who advised our client on the status of the tenancy which was protected under the terms of the Agricultural Holdings Act 1986.
