Thomson Snell & Passmore advise on purchase of shares in software and marketing company

We recently advised our client, a company specialising in the direct mail and marketing industry, in relation to the purchase of shares in an established software solutions company.

As part of the transaction, we drafted a complex share purchase agreement dealing with the acquisition of an equity stake in the target company. The parties had agreed to stagger the purchase across two tranches, which required careful drafting of a Put and Call Option Agreement, which would allow our client to acquire the second tranche of shares within an agreed timeframe.
