We recently advised our client, a company specialising in the direct mail and marketing industry, in relation to the purchase of shares in an established software solutions company.
As part of the transaction, we drafted a complex share purchase agreement dealing with the acquisition of an equity stake in the target company. The parties had agreed to stagger the purchase across two tranches, which required careful drafting of a Put and Call Option Agreement, which would allow our client to acquire the second tranche of shares within an agreed timeframe.
The transaction team at Thomson Snell & Passmore was led by Partner and Head of Corporate & Commercial, Joanne Gallagher, in conjunction with Senior Associate, Faye Cook. Ben Stepney, Senior Associate, advised on the Employment aspects of the deal.
