Thomson Snell & Passmore advises on purchase of assets of a laboratory equipment manufacturer

Thomson Snell & Passmore recently acted for a long-standing client in relation to the purchase of the assets of a business specialising in the design and manufacture of specialist laboratory equipment, based in Norfolk.

Joanne Gallagher, Partner and Head of Corporate, led the transaction, assisted by Faye Cook, Senior Associate.

The team conducted initial due diligence, with a particular emphasis on ensuring all relevant intellectual property rights (IPR) were identified and transferred where necessary. Given the nature of the business, which relies heavily on the use of particular software, a Deed of Assignment of IPR was required. This was alongside a detailed asset purchase agreement setting out the complex commercial terms of the transaction.

This transaction has further highlighted and developed our expertise in regard to asset purchases across the software and technology sector.
